Taxation

The Firm advocates the beneficial application of taxation.

Our Tax Compliance Team educates our clients on the tax implications of every commercial transaction and offers tax advice on compliance vis-a-vis the National Internal Revenue Code and Local Government Code to achieve tax efficiency and avoid tax controversy.

The Firm also provides legal representation in all stages of tax assessments before any administrative and judicial agency.

The Firm performs extensive studies of its clients’ tax position, practices and procedures to determine their faithful compliance with Philippine tax laws, rules and regulations.  At the end of the tax compliance review, the Firm provides a comprehensive report identifying areas of possible tax exposure and propose courses of action to correct or minimize said exposure.   In addition, the Firm prepares tax manuals to guide clients in ensuring proper tax compliance.

The Firm assists clients in liaising with the Bureau of Internal Revenue (BIR) and local governments regarding tax concerns.  The Firm secures confirmatory rulings, tax exemption certificates, tax credit certificates and opinions from the BIR and the Department of Finance.

The Firm secures approvals of applications for Tax Treaty Relief from the BIR International Tax Affairs Division. The Firm is known for expertly handling controversies relating to deficiency tax assessment issued by the BIR, whether arising from an ordinary audit or from a tax fraud investigation.

The Firm advises clients on the tax implications of their business transactions. The Firm provides information on applicable local tax regulation, and discusses relevant interpretative rulings issued by the BIR as well as decisions issued by the Court of Tax Appeals and Supreme Court on similar transactions. The Firm also advises and/or assists clients in the registration with various government agencies such as the BIR, Security and Exchange Commission (SEC), Department of Trade and Industry (DTI), Philippine Economic Zone Authority (PEZA) and local governments.

Corporate Law and Investment Advisory

Atty. Daisy Parker leads the Firm’s Corporate Law Department. With decades of experience in handling publicly listed companies The corporate needs of the clients, such as SEC registration, corporate compliance, stock acquisitions, and corporate mergers/acquisitions, and consolidation, are well taken care of by Daisy. Her hands-on approach leaves the clients free to focus on their business. The Firm’s Corporate Department is supported by its other Law Departments providing comprehensive and cost-efficient legal services on other ancillary corporate concerns in taxation, labor, and litigation.

Litigation

Labor and Employment Law

The Firm has extensive experience in both labor advisory and litigation.

The Firm counsels clients on matters such as employment contracts, company rules and policies, employee hiring and dismissal, employee compensation and benefits, dispute resolution, labor relations and collective bargaining. The Firm always considers the needs of the client in the face of regulatory requirements when providing legal advice in protecting our clients’ interests to prevent costly litigation, and ensure the clients’ compliance with law and long-term sustainability.

As labor counsels, the Firm assists and represents our clients in all stages of the labor litigation process from the conciliation-mediation level to litigation proper.

Regulatory Practice

The Firm has immense experience in helping clients secure licenses and permits to engage in business activities regulated by administrative agencies such as the BIR, DTI, Food and Drugs Administration, Insurance Commission, Philippine Gaming and Amusement Corporation, Philippine Health Insurance Corporation, Home Development Mutual Fund, Social Security System, and any local government units, among others.

Immigration

The Firm represents corporate clients in securing work visas and permits for their foreign employees. We also provide assistance to expatriates in their special non-immigrant and immigrant visa applications or in obtaining Philippine citizenship through naturalization.

Insurance

The Firm provides advisory services to insurance and reinsurance companies in relation to compliance with insurance laws and regulations as well as assistance in drafting and reviewing their insurance contracts.  and represent them against fraudulent claims.
